Version: US‑MSA v3 IMPORTANT: BUSINESS‑TO‑BUSINESS ONLY. These Services are provided for business use cases and business customers.
1) Agreement Structure
This Agreement consists of: (a) this Master Services Agreement (including Appendix 1 — Data Processing Addendum), and (b) the Service Schedule (IoT + Voice + Commercials) executed or referenced in an Order Form/Connectivity Agreement. If there is a conflict, the Order Form controls over the Service Schedule, and the Service Schedule controls over this Master Services Agreement, solely for the conflicting subject matter.
2) Definitions
- “Customer” means the business entity ordering Services.
- “Services” means IoT connectivity (data‑only SIMs/eSIMs/iSIMs, APNs/IP options, management tooling) and/or interconnected hosted VoIP/SIP trunk services, as ordered.
- “Portals” means the Titus Telecom Billing Portal, Titus Telecom SIM Management Portal, and Titus Telecom Help Desk.
- “Usage Records” means supplier/network usage records (including CDRs where applicable) used to rate usage.
3) Third‑Party Dependencies (Vendor‑Neutral)
Customer acknowledge Titus may use underlying carriers, networks, and third‑party platforms to provide the Services and operate the Portals. Certain features, availability, routing, and performance may be affected by such third parties and network conditions. Titus remains Customer’s contracting and billing party.
4) Portals & Support Channels
4.1 Billing Portal. Customer may optionally register for the Titus Telecom Billing Portal to view/download invoices and manage certain account settings.
4.2 SIM Management Portal. Customer may be granted view access for SIM usage/status/reporting. Unless otherwise agreed, Titus will perform SIM lifecycle actions on Customer’s behalf upon request and/or where reasonably required for security, compliance, fraud prevention, or service continuity.
4.3 Help Desk. Support requests may be raised via support@titustelecom.com or via the Titus Telecom Help Desk portal.
5) Invoicing; Usage Import; Adjustments
5.1 Invoice delivery. Titus issues invoices monthly and delivers them by email as PDF to the Billing Email on file.
5.2 Monthly usage import. Customer acknowledges Titus generally imports Usage Records monthly.
5.3 Adjustments. Records may be delayed, incomplete, or later corrected by upstream providers; Titus may issue subsequent invoice adjustments (debit/credit) to reflect late-arriving records, corrections, or rating changes.
6) Billing Disputes (30‑Day Window)
Customer must notify Titus in writing of any billing dispute within thirty (30) days of the invoice date. Customer must pay all undisputed amounts when due. If Customer does not dispute an invoice within this period, the invoice will be deemed accepted, except where prohibited by law.
7) Payment; Late Fees; Taxes
7.1 Payment method. Customer will pay by commercial ACH debit where agreed, or other approved methods.
7.2 Late fees. Late amounts may accrue the lesser of 1.5% per month or the maximum allowed by law, plus reasonable collection costs.
7.3 Taxes/fees. Charges are exclusive of applicable taxes, telecom fees, and regulatory surcharges (excluding Titus income taxes).
8) Security & Fraud Controls
Titus may implement spend limits, destination blocks, bars, or other controls to reduce fraud exposure and bill shock and may suspend Services on suspected compromise or abnormal usage until verified. Customer must maintain secure credentials and promptly notify Titus of suspected compromise.
9) Suspension
Titus may suspend impacted Services for non‑payment, suspected fraud/abuse, security risk, material breach, or upstream network/platform issues.
10) Term; Renewal; Termination
Initial term and any minimum commitments are set out in the applicable Order Form/Service Schedule. Termination for uncured material breach is permitted. Early termination charges may apply as stated in the Service Schedule/Order Form.
11) Warranties; Disclaimers
Services are provided with commercially reasonable skill and care. No service is error‑free or uninterrupted; performance depends on upstream networks, device capabilities, and internet access. All other warranties are disclaimed to the fullest extent permitted by law.
12) Limitation of Liability
CONSEQUENTIAL AND INDIRECT DAMAGES ARE DISCLAIMED. Titus’s aggregate liability is capped at the greater of fees paid for the impacted Services in the prior 12 months or $25,000, except for liabilities that cannot be limited by law.
13) Confidentiality; IP
Each party will protect the other’s Confidential Information. Titus and its licensors retain IP in platforms, portals, and services; Customer retains IP in its devices and content.
14) Notices
Notices may be provided electronically to the Billing Email on file or through the Portals, and will be deemed received when sent (subject to bounce-back or system failure).
15) Governing Law; Venue
Florida law governs (excluding conflicts). Exclusive venue: state or federal courts in Pinellas County, Florida.

This Service Schedule forms part of the Master Services Agreement and applies to Services ordered on an Order Form/Connectivity Agreement.
A) IOT CONNECTIVITY (DATA‑ONLY)

A3. Internet Breakout / Egress Routing
- Standard (non-localized) routing: Unless a Local Breakout option is ordered, Customer acknowledges IoT traffic may egress from a region outside the United States (commonly Europe), depending on supplier core routing.
- U.S. Local Breakout option (where ordered): For U.S. customers ordering this option, traffic will typically be configured for U.S. egress, subject to availability and technical constraints.
- Titus does not provide legal advice; Customer remains responsible for determining regulatory/data-residency requirements and whether an ordered breakout option meets those requirements.
A4. SIM Management Model
- Titus performs SIM lifecycle actions (activation, suspension, termination, plan changes) on Customer’s behalf upon request and/or where reasonably required for security or service continuity.
- Customer may be granted view access to the Titus Telecom SIM Management Portal for usage/status/reporting.

B) HOSTED VOICE / SIP TRUNK (INTERCONNECTED)
B1. Resold solution. Titus provides hosted voice services under its brand using third‑party platforms and underlying carriers.

B3. Call quality. Call quality depends on Customer broadband/LAN/Wi‑Fi conditions; congestion, packet loss and jitter may degrade quality.
B4. Call recording. Where enabled, Customer is responsible for obtaining any required consents/notices and complying with applicable laws.
